Terms of Service

1. Acceptance

By creating a Relay account or using the Relay service you agree to these Terms of Service (“Terms”). If you are accepting on behalf of a company, you represent that you have authority to bind that company. If you do not agree, do not use the service.

2. The service

Relay automatically responds to missed calls on your behalf by sending SMS messages to callers and qualifying them as leads using AI. You authorise Relay to send these messages in your name using a Twilio phone number assigned to your account.

3. Acceptable use

You agree not to use Relay to:

• Send unsolicited commercial messages (spam) beyond the transactional missed-call response use case
• Harass, threaten, or deceive callers
• Violate CASL, the TCPA, or any applicable telecommunications law
• Resell or white-label the service without a written agreement with RelayFox Inc.
• Reverse-engineer, scrape, or interfere with the service infrastructure

We reserve the right to suspend any account we determine is being used in violation of these terms, without notice if necessary to protect callers or the network.

4. SMS messaging and CASL consent

Relay sends SMS messages to individuals who called your business number and received no answer. By using Relay, you confirm that:

• You operate a legitimate business in Canada and the callers are genuine prospective or existing customers
• You will not use Relay to contact numbers on Canada’s National Do Not Call List for marketing purposes
• You understand that each outbound message includes an opt-out instruction (“Reply STOP to opt out”) and that opt-out requests are binding and permanent

Because these messages are transactional responses to inbound missed calls — not unsolicited marketing — they qualify for the “existing business relationship” and “non-commercial electronic message” exemptions under CASL. You remain responsible for ensuring your use of Relay is compliant with all applicable laws.

5. Billing and subscription

Plans: Relay is offered on monthly subscription plans (Starter, Growth, Pro) billed in Canadian dollars. Prices are listed at relayfox.ai/pricing and may change with 30 days’ notice.

Free trial: New accounts receive a 14-day free trial. No charge is made until the trial ends. You may cancel before the trial ends with no obligation.

Payment: Billing is processed by Stripe. Your payment method is charged at the start of each billing period.

Refunds: We do not offer pro-rated refunds for unused subscription time. If you cancel, you retain access until the end of the paid period.

Overdue accounts: Accounts with failed payments will be suspended after 7 days. Data is retained for 30 days before deletion.

6. Cancellation

You may cancel your subscription at any time from the Billing page in your account. Cancellation takes effect at the end of the current billing period. We do not charge cancellation fees.

7. Intellectual property

Relay and its underlying technology are owned by RelayFox Inc. You retain ownership of your business data (call logs, lead information, conversation transcripts). You grant us a limited licence to process that data to provide the service.

8. Liability limits

The service is provided “as is.” To the maximum extent permitted by law:

• RelayFox Inc. is not liable for missed leads, lost revenue, or business interruption resulting from service downtime or AI errors
• Our total liability to you in any calendar month shall not exceed the fees you paid in that month
• We are not liable for consequential, indirect, or punitive damages

Nothing in these Terms limits liability that cannot be excluded under applicable Canadian law.

9. Governing law

These Terms are governed by the laws of British Columbia and the federal laws of Canada applicable therein. Any disputes shall be resolved in the courts of Vancouver, BC.

10. Changes to these Terms

We may update these Terms. We will notify you by email at least 14 days before material changes take effect. Continued use of Relay after the effective date constitutes acceptance.
